Mutual of Omaha Insurance Company ("Mutual of Omaha") announced today
the applicable Reference Yield, Yield and the Full Tender Offer
Consideration as outlined in the table below, in connection with the
Tender Offers for certain of its outstanding 6.80% Surplus Notes due
2036 (the "First Priority Notes") and its outstanding 6.95% Surplus
Notes due 2040 (the "Second Priority Notes" and, together with the First
Priority Notes, the "Notes," and each a "series" of Notes).
(1) Per $1,000 principal amount of Notes accepted for purchase. We will
also pay accrued and unpaid interest to, but not including, the
applicable Settlement Date. The Early Settlement Date is expected to be
July 17, 2014.(2) Includes the Early Tender Payment.
